Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Room Choice ("Company," "we," "us," or "our") governing your access to and use of the roomchoice.com website and the Room Choice platform (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Description of Services

Room Choice provides a cloud-based student housing management platform that enables property operators to manage leasing, billing, payments, resident communications, and property operations. Our Services are designed for student housing operators managing properties with 200 or more beds.

Account Registration

To use certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

Subscription and Payment

Fees

Access to Room Choice requires a paid subscription. Fees are based on the number of beds managed and are billed on a monthly basis. Current pricing is available upon request by contacting our sales team.

Payment Terms

• All fees are due in advance on the first day of each billing cycle
• Payments are processed through our third-party payment processor, Stripe
• You authorize us to charge your designated payment method for all applicable fees
• Fees are non-refundable except as expressly stated in these Terms

Contract Terms

Room Choice subscriptions are month-to-month with no long-term commitment required. You may cancel your subscription at any time, effective at the end of your current billing period.

Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Collect or harvest user information without consent
• Use the Services for any unlawful or fraudulent purpose

SMS and Text Messaging Program

Room Choice operates an SMS program called Room Choice Housing Notifications on behalf of the property management companies that use our platform. Messages are sent from a phone number dedicated to your property, and are about your housing.

What you receive

Housing updates, lease and renewal reminders, rent and payment notices, maintenance updates, and replies from your property management team. Message frequency varies depending on your lease activity and the messages your property sends.

How you opt in

We send text messages only to residents and applicants who have agreed to receive them. Consent to receive text messages is not a condition of applying for or renting housing, and is collected separately from any other agreement.

How to stop messages

Reply STOP, END, CANCEL, UNSUBSCRIBE or QUIT to any message to stop receiving texts from that property. We will send one confirmation message and then stop. You can start again at any time by replying START.

Costs

Message and data rates may apply. Neither Room Choice nor Room Choice charges for text messages, but your mobile carrier may charge you for sending or receiving them according to your plan.

Carrier liability

Wireless carriers are not liable for delayed or undelivered messages. Message delivery depends on your carrier and is not guaranteed.

Supported carriers

Our SMS program is available on most major U.S. wireless carriers. Carrier support can change without notice.

Privacy

Mobile opt-in data and consent are never shared with third parties for marketing purposes. See our Privacy Policy for how we handle that information.

Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of information as described in our Privacy Policy.

Your Data

You retain ownership of all data you submit to the Services ("Customer Data"). You grant us a limited license to use, process, and store Customer Data solely to provide the Services to you.

Data Security

We implement industry-standard security measures to protect your data. For details about our security practices, please visit our Security page.

Intellectual Property

The Services, including all content, features, and functionality, are owned by Room Choice and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Services without our express written permission.

Third-Party Services

Our Services integrate with third-party services including Stripe (payments), Plaid (bank verification), and Dropbox Sign (electronic signatures). Your use of these integrations is subject to the respective third party's terms and privacy policies.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOM CHOICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ROOM CHOICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Room Choice and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or violation of these Terms.

Termination

We may suspend or terminate your access to the Services at any time for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease. You may export your data prior to termination by contacting our support team.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or by email. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law provisions. Room Choice, Inc. is incorporated in Delaware and operates from Nampa, Idaho.

Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Canyon County, Idaho.

Venue

For any matter not subject to arbitration — including proceedings to compel arbitration, to enforce or vacate an arbitration award, or to seek injunctive relief — you and Room Choice agree to the exclusive jurisdiction and venue of the state and federal courts located in Canyon County, Idaho, and waive any objection to that forum.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
